As commercial manager of CNERGYA and as the seller's representative and agent, on behalf of the producers and their commercial companies, with full corporate and legal liability, and under penalty of perjury, we confirm our willingness and ability to supply Icumsa 45 sugar. We declare that we have the legal and operational capacity to offer products for the purpose of entering into a Supply Contract of Legitimate Origin under the following terms:

PRICE PER MT: $445,00 MT (FOUR HUNDRED AND FOURTY-FIVE DOLLARS)
PAYMENT TERMS: MT 760 SBLC TRANSFERABLE, OPERABLE, IRREVOCABLE, CONFIRMED AND DIVISIBLE) 100% effective against BL and SGS at port of origin
DURATION OF CONTRACT: UNTIL ALL PRODUCTS ARE SHIPPED. 12 MONTHS
PACKING: 50 KG NET NEW POLYETHYLENE/POLYPROPYLENE BAGS FITTED FOR FREIGHT
INSPECTION: THE INSPECTION REPORT TO BE MADE AT THE LOADING PORTS IS THE SELLER'S RESPONSIBILITY.

INSURANCE: 110% TO BE COVERED BY THE SELLER ON BEHALF OF THE SELLER
Transaction Procedure

1. The buyer submits an LOI with the specifications of their requirement, quantity, destination port, contract duration (minimum 12 months), target price, and Incoterm terms.
2. The seller issues an SCO with the transaction procedure.
3. The buyer issues an ICPO accepting the transaction procedure, CIS, and KYC.
4. The seller issues an FCO.
5. The buyer returns the FCO.
6. The seller submits the draft contract (SPA).
7. The seller reviews the contract, comments on it if necessary, or approves and signs it, and returns it to the seller for signature.
8. The buyer issues the proof of fund (RWA or BCL) to the seller's bank officer.
9. The seller's bank officer reviews and confirms the buyer's proof of fund and submits the proof of product.
10. The buyer will initiate the SBLC application process with one of the major banks: HSBC, BNB, Deutsche Bank, UBS, Barclays Bank, or BNP PARIBAS (THE SELLER). THE BUYER MUST HAVE AVAILABLE FUNDS TO BACK UP THE SBLC AND TO TRANSFER VIA TT OR MT103 ONCE THE BL AND SGS ARE PRESENTED AT THE PORT OF ORIGIN.
11. Upon receipt and confirmation of the MT760 by the seller's bank, the buyer's bank will send a hard copy of the MT760 within 7 days.
12. The seller will provide a bank and trust guarantee for PB of 2% in favor of the buyer within 7 days from the date the seller's or beneficiary's bank receives the copy of the MT760.
13. The seller will initiate the production process or initial loading schedule within the next 15 business days, for which the buyer may send an emissary or representative to the port at the time of loading. Vessel
14. After loading and upon presentation of the Bill of Lading and SGS, the buyer will make the total invoice payment via TT or MT103.
15. The seller's bank will issue the commission payment to the persons involved in the negotiation process, according to NCNDA / IMPFA.
16. The seller begins the process for the next shipment, according to the contract specifications (SPA).
